Depends entirely on which version of Thor we're talking about -- if it's the one who loses the transformation when out of reach of his hammer for too long, he's absolutely boned.

If he gets lassoed, he's quite likely boned regardless of the version.

If he manages to lightning strike Diana a couple of times, then he's going to win it.
