Hawkeye is referring to the power distruptor the New Avengers were planning to use on the Dark Avengers when they invited them into an ambush. But Osborn didn't fall for it and sent the Hood's gang to ambush them back. The disruptor got busted and was picked up by somebody, and now it's been revamped and turned against its creators.
And no, I haven't the slightest idea where it came from, or how the hell it can cancel out powers with diverse origins, or what it's doing to Hawkeye (though the suggestion that it's acting on Pym particles still dormant in his cellular structure is a good one; if I recall, only Mockingbird was immune to it, perhaps because she's the only one who's never had any powers or augmentations). It's been shown multiple times that even mutant powers, which arguably all have the same source (i.e. genetic structure) are hard to take away; Forge's device didn't work right, those power-neutralizing collars are hard to get over someone's neck, and even the Dark Beast's supergizmo in Dark X-Men hadn't been perfected yet. A simple box that transmits waves that neutralize all powers, ever seems a bit too hand-wavy to me; reminds me of the power-neutralizing bulbs in Powers, which work on everybody.
I'd be curious to know what this box did to anyone with magic-based powers. Or did we already see it take down Ares? If so, that's a pretty damn potent box. Look out, Dr. Doom. If it shuts down everything from machinery to sorcery, nobody is safe.
